1. Introduction and Acceptance

Welcome to Therapbiz. These Terms of Service ("Terms") govern your use of the websites, applications, tools, and services operated by Therapbiz, a DBA of Monastic Marketing LLC, located at 1700 Shangrila Rd, Toquerville, UT 84774 (collectively, the "Services").

By accessing or using our website, any Therapbiz applications, or related integrations (collectively, the "Site"), you agree to be bound by these Terms and to comply with all applicable laws and regulations. In these Terms, "you" and "your" refer to each customer, site visitor, or user of our Services.

Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. If you do not agree with any part of the Terms, you may not use the Services.

3. Eligibility and Agreement to Contract

These Terms require the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions. By agreeing to these Terms, you waive your right to participate in any class action lawsuit or class-wide arbitration, and your remedies in the event of a dispute may be limited as described below.

4. Nature of Services and Limitations

Therapbiz provides an online platform and related services designed to support business operations for therapy and wellness practices and other small businesses, including marketing, automation, and business management tools.

Therapbiz is not a law firm and does not provide legal advice or legal services. At no time do we review your entries for legal sufficiency, draw legal conclusions, provide legal, tax, investment, or financial advice, or apply the law to the facts of your particular situation. Our tools, templates, and content are for general informational and operational purposes only and are not a substitute for the advice or services of an attorney, accountant, or financial professional.

Therapbiz is also not a bank or financial institution and does not itself provide banking services. Any references to payment processing, invoicing, or financial tools are limited to software and operational support; you remain responsible for your banking and compliance relationships.

If we reference or integrate with third-party financial or software providers, the detailed terms and legal documents specific to those services will be provided or linked separately, and you should review them to understand the full scope and limitations of any such services.

5. Accuracy and Currency of Information

Therapbiz strives to maintain accurate and up-to-date information in its materials and throughout its platform, but we cannot guarantee that all information on the Site or within our applications will always be current, complete, or error-free.

The legal, regulatory, and business landscape changes quickly, and laws differ by jurisdiction and are subject to interpretation by different authorities. Using the Site or Services does not create any attorney-client, accountant-client, or other professional relationship between you and Therapbiz. Our role is limited to providing tools, content, and operational support; these are not substitutes for professional services.

If you interact with any professional introduced or referenced through our Services, you are solely responsible for evaluating their qualifications and for your decisions based on their advice. Therapbiz does not endorse, supervise, or guarantee the quality or outcome of any services provided by such professionals.

7. Privacy and User Responsibilities

Therapbiz respects your privacy and handles personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

When you register for or use certain parts of the Site or Services, you must provide complete and accurate information and maintain the confidentiality of your account credentials. You are fully responsible for all activity that occurs under your account and agree not to use another person's account or credentials at any time. You agree to notify us promptly of any unauthorized use of your account.

In using our Services, you may be asked to provide personal or business information in forms, questionnaires, or other documents. You grant Therapbiz a worldwide, royalty-free, non-exclusive, and sublicensable license to use, distribute, reproduce, modify, publish, and translate such information solely as necessary to provide and operate the applicable Services. You may revoke this license by removing such information from the Services, subject to our legal and contractual obligations to retain certain data.

8. Ownership and Intellectual Property Rights

The Site and Services are owned and operated by Monastic Marketing LLC (doing business as Therapbiz). All rights, title, and interest in and to the Site, Services, and associated materials, including but not limited to information, documents, logos, graphics, sounds, and images (collectively, the "Materials") are owned by Therapbiz or our third-party licensors.

Except as expressly allowed by these Terms or in a separate written agreement, none of the Materials may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted, or distributed in any way. Nothing on the Site or in the Services grants you any license or right under any intellectual property of Therapbiz or its licensors, by implication or otherwise.

9. Third-Party Sites and Links

The Site and Services may contain links to third-party websites ("Third-Party Sites") or content, including partners, platforms, and resources that are not controlled by Therapbiz.

Therapbiz is not responsible for and does not endorse the availability, content, products, services, or practices of any Third-Party Site. You access and use Third-Party Sites at your own risk, and any dealings with third parties are solely between you and the applicable third party.

If you have concerns about a Third-Party Site, you should contact the administrator or owner of that site directly.

10. Arbitration Agreement and Dispute Resolution

You and Therapbiz agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding, individual arbitration, and not in court, except as otherwise stated in these Terms. You waive any right to a jury trial or to participate in a class action or class-wide arbitration.

Arbitration will allow for reasonable discovery or exchange of non-privileged information relevant to the dispute, and you and Therapbiz agree to cooperate in seeking appropriate protection for confidential or proprietary information.

You may opt out of this arbitration provision within 30 days of first accepting these Terms by sending us written notice at the mailing address listed in these Terms, clearly indicating your intent to opt out of binding arbitration and including your full name and address. If you opt out, disputes will be resolved as otherwise provided in the "Governing Law and Jurisdiction" section, but must still be brought on an individual, not class, basis.

If any portion of the arbitration provision is found unenforceable or unlawful, that specific portion will be severed, and the remainder will continue in full force and effect to the extent permitted by law.

11. Additional Terms for Specific Services

Certain Services, features, or programs may be subject to additional terms, policies, or guidelines ("Additional Terms"). Your use of those Services is conditioned on your acceptance of the applicable Additional Terms.

If there is a conflict between these Terms and any Additional Terms, the Additional Terms will control for the specific Service, unless they expressly state otherwise.

12. User Content

You may be able to post, upload, or submit content (such as reviews, comments, messages, files, or other materials) through the Services ("User Content").

You are solely responsible for your User Content. Therapbiz does not pre-screen all User Content but may remove or modify content at our discretion for any reason, including if we believe it violates these Terms or applicable law. Opinions expressed in User Content do not necessarily reflect the views of Therapbiz.

By posting User Content, you grant Therapbiz a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in any media, and to use the name you submit in connection with such content. You represent and warrant that you own or control all rights to your User Content and that it does not violate any third-party rights or laws.

13. System Security and Content Management

Therapbiz takes reasonable steps to maintain the security and reliable operation of its systems, but no system can be guaranteed fully secure.

If we detect files, processes, or account activity that threaten system security or the experience of other users, we may take actions we deem reasonably necessary, including deleting files, stopping processes, or temporarily disabling account access. We will make reasonable efforts to contact affected users where practicable.

We reserve the right, but not the obligation, to edit, remove, or re-categorize User Content for operational, security, or policy reasons.

14. Prohibited Content and Conduct

You are responsible for all content and activity under your account. You agree not to post, upload, or distribute through the Services any content that is unlawful, fraudulent, defamatory, obscene, harassing, hateful, discriminatory, or that infringes intellectual property or other rights.

You also agree not to upload malware or harmful code, not to use the Services for spam or unauthorized advertising, and not to engage in conduct that could damage, disable, or overburden the Services or interfere with others' use.

Therapbiz may investigate violations and cooperate with law enforcement where required or appropriate.

15. Fees, Billing, and Refunds

You agree to pay all fees, charges, and applicable taxes associated with your use of the Services in accordance with the pricing and billing terms presented at the time of purchase or in any order or service-specific documentation provided by Therapbiz. Unless otherwise stated, all fees are in U.S. dollars and are non-cancellable.

Except where required by applicable law or expressly stated in an order form or service-specific agreement, all fees paid or payable to Therapbiz are non-refundable and non-creditable, including subscription fees, service fees, transaction fees, and applicable taxes. Therapbiz is under no obligation to issue refunds or credits for partial billing periods, downgraded or canceled subscriptions, or unused Services.

If your access to any Service is suspended, limited, or terminated for cause (including breach of these Terms, violation of law, or non-payment), you remain responsible for all amounts due, and no refunds or credits will be issued. If we terminate a Service for our convenience, we may, at our discretion, provide a pro-rated refund or credit for any unused prepaid portion of that Service.

If you initiate a chargeback or payment dispute, Therapbiz may suspend or terminate access to some or all Services and may recover from you any costs incurred in responding to the dispute, to the extent permitted by law.

16. Disclaimer of Warranties

THE SITE, SERVICES, AND ALL MATERIALS AND CONTENT PROVIDED THROUGH THEM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, THERAPBIZ DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM USE WILL BE ACCURATE OR RELIABLE.

ANY MATERIALS OR CONTENT OBTAINED THROUGH THE SERVICES ARE ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR DATA LOSS THAT MAY RESULT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THERAPBIZ AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR FOR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THERAPBIZ'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL BE LIMITED TO THE AMOUNT YOU PAID TO THERAPBIZ FOR THE SERVICES DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

18. Compliance with Intellectual Property and Export Laws

You agree to respect the intellectual property rights of others and to use the Services only in compliance with applicable copyright, trademark, and other intellectual property laws.

You also agree not to access or use the Services in violation of any applicable export control or sanctions laws and are responsible for obtaining any required licenses or authorizations.

19. User Eligibility, Language, and Accessibility

The Services are not directed to children under 18, and we do not knowingly collect personal information from individuals under 18.

The primary version of these Terms and most Site content is provided in English. If translations are provided, the English version will control in case of any conflict or ambiguity.

Therapbiz aims to make its Site and Services accessible. If you experience difficulty using the Site because of a disability, please contact us using the contact details on the Site and we will work with you to provide reasonable assistance.

20. Governing Law and Jurisdiction

Except where prohibited by applicable law, these Terms and any dispute arising from them or from your use of the Services will be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict-of-law principles.

Subject to the arbitration agreement above, any dispute not subject to arbitration or that cannot be heard in small claims court will be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of those courts.

21. Intellectual Property Notices

All site design, text, graphics, and the selection and arrangement thereof are owned by Monastic Marketing LLC or its licensors. All rights reserved.

"Therapbiz," associated logos, and related trade dress are trademarks or service marks of Monastic Marketing LLC. Other product names and company names or logos referenced on the Site may be trademarks of their respective owners.

22. Telephone and Electronic Contact Consent

By providing your contact information to Therapbiz through the Site or Services, you consent to being contacted by us (including by phone, SMS, email, or other electronic means) in connection with your inquiry, account, or use of the Services, subject to applicable law and our Privacy Policy.

23. Service Suspension and Termination

Therapbiz may, in its sole discretion and at any time, suspend or terminate your access to some or all of the Services, including for non-payment, suspected misconduct, violation of these Terms, or to comply with law or the order of a governmental authority.

Termination may result in the deletion or loss of certain information associated with your account, subject to our data-retention obligations and policies. You remain responsible for all fees and charges incurred prior to termination.

24. Agreement to Terms

BY ACCESSING OR USING THE SITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE.
